Terms And Conditions for online investment in Mutual Funds (MF)

The use of the website by the investor desirous to open online mutual fund account shall mean that He/She agrees with the following Terms And Conditions

The terms and conditions prescribed hereunder by Finmoksha Financial Planning (hereinafter referred to as Finmoksha Financial Planning) are in addition to other documents /disclaimer, provides facility to enable the investors to carry out the online transactions in the units of the mutual funds through "Online Mutual Fund Portal" of Finmoksha Financial Planning holds a registration with Association of Mutual Funds in India ("AMFI") and has obtained ARN Code bearing number 3080 to act a distributor of mutual fund through its website,Finmoksha (hereinafter referred to as ("Website")

The investors, who have registered on the Website ("Registered Clients") shall be entitled to avail the Online Mutual Fund Facility/Services, including but not limited to purchase, redemption and switch of mutual fund units. Before availing the services, investors are requested to read and confirm all the terms & conditions.

Definitions:

UNITS shall mean the interest of the investor in an undivided share in the net assets of a Scheme of the Fund.

NAV means the net asset value of the Units of the Scheme and the plans and options therein, calculated on every business day, in the manner provided in the Offer Document of the respective schemes or as may be prescribed by SEBI Regulations from time to time. It is required to be disclosed by the mutual funds on a regular basis – on all business days or weekly – depending on the type of scheme. As per SEBI Regulations, the NAV of a scheme shall be calculated and published at least in two daily newspapers at intervals not exceeding one week. The NAVs are also available on the websites of mutual funds. All mutual funds are also required to put their NAVs on the website of Association of Mutual Funds in India (AMFI) www.amfiindia.com and thus the investors can access NAVs of all mutual funds at one place.

PURCHASE shall mean subscription to the Units of any of the Schemes of the Mutual Fund.

REDEMPTION shall mean sale of the units of the various schemes of the Mutual Fund.

SWITCH shall mean an option to the investor to shift his existing investment in any of the schemes of the Mutual Fund to another scheme of the same Mutual Fund.

SYSTEMATIC INVESTMENT PLAN (SIP) Automatic Investment Plan (AIP) shall mean an option available with the Client for investing, at a specified frequency, in a specified Scheme of the Fund, a fixed amount of Rupees for purchasing additional units at the applicable NAV on a specified date, provided that the provisions of the Offer Document of the respective Scheme shall always be applicable for SIP transactions.

SYSTEMATIC WITHDRAWAL PLAN (SWP) shall mean an option available with the Client who holds Units to withdraw a predetermined amount or a variable amount subject to deduction of tax, if any, at a specified frequency, from a specified Scheme of the Fund at a specified period thereby reducing the unit balance to his credit by the units so withdrawn at the applicable NAV on the specified date, provided that the provisions of the Offer Document of the respective scheme shall always be applicable for SWP transactions.

SYSTEMATIC TRANSFER PLAN (STP) shall mean an option available with the Client who holds Units to transfer a predetermined amount or a variable amount subject to deduction of tax, if any, at a specified frequency, from a specified Scheme of the Fund to another specific scheme of the Fund at a specified period at a specified frequency at the applicable NAV on a specified date, provided that the provisions of the Offer Document of the respective Schemes shall always be applicable for STP transactions

LOAD shall mean a charge, which the Asset Management Company (AMC) may collect on entry and/or exit from a scheme.

Terms & Conditions

1. The Client is requested to check up the personal and bank related details provided by him/her. Neither Finmoksha Financial Planning nor any of the Mutual Funds chosen shall accept any liability which may arise as a consequence of the erroneous information provided by the Client.
2. The units of the schemes shall be allotted, redeemed or switched, as the case may be, at the Net Asset Value (NAV) prevalent on the date of the application on a best effort basis, if the application for purchase, redemption or switch is received by Finmoksha Financial Planning before the cut-off time as specified on the website and consistent with the terms of the Scheme. However, Finmoksha Financial Planning undertakes to provide NAV of T+7 days to all of its Clients. Finmoksha Financial Planning shall not be liable for any loss that may arise to the Client as a result of the correct NAV not being allotted to the Client's transactions on the website.
3. Any request falling due on a holiday would be processed on the next business day and respective NAV would be applicable as per the Mutual Fund's offer document.
4. No offline transaction requests will be entertained by Finmoksha Financial Planning or the concerned Mutual Fund or their respective registrars in respect of the units allotted through Finmoksha Financial Planning s online portal.
5. he Client agrees and understands that in case he is to close his broking account, he shall have to either redeem or convert to physical units for all his mutual fund holdings. The Client agrees that Finmoksha Financial Planning shall not be responsible for any loss or implication for in such cases. In case the Client fails to do so and thereby cannot transact in such units not converted or redeemed after his account is closed, the Client understands that Finmoksha Financial Planning shall not be liable.
6. In the case of Automatic Investment Plan, in the absence of sufficient allocated funds, unallocated funds to the extent available shall also be utilised. In the absence of sufficient funds, both allocated and unallocated, no investment shall be made for that particular period.
- a. The Client confirms that he/she/they is/are aware that for Flexi- SIP's /SIP's he/she/they need to transfer funds before the cut-off time specified by Finmoksha Financial Planning in the website against each scheme. Finmoksha Financial Planning will not forward the orders to the AMC for processing in case sufficient amount is not available in the pool account before the cut-off time.
- b. The SIP (as per the dates specified by different AMC's) orders will be forwarded/executed only subject to the acceptance of the ECS arrangement made by Finmoksha Financial Planning with the bankers.
7. For change of address or any personal details of the Client, the Client shall send "Modification Form" to Finmoksha Financial Planning duly signed.
8. The details of transactions made and the allotment details will be provided in the website (order details / portfolio). No physical statements will be sent to the Clients either by Finmoksha Financial Planning or by AMC.
9. The Customer Care Desk of Finmoksha Financial Planning shall handle all Mutual Fund related queries of the Clients.
10. The Client undertakes to read all the relevant offer documents and addendum(S) / regulatory clauses published by regulatory authorities and understand the terms and conditions of all schemes of all mutual funds offered through Finmoksha Financial Planning , BEFORE entering into any transactions through Finmoksha Financial Planning .
11. The Client(s) have understood the details of the Scheme and have not received nor been induced by any rebate or gifts, directly or indirectly, in making this investment.

13. The Client(s) confirm that the details provided by the Client(s) are true and correct.
14. The Client(s) hereby declare that the amount being invested by the Client(s) in the Scheme(s) of all mutual funds is derived through legitimate sources and is not held or designed for the purpose of contravention of any Act, Rules, Regulations or any statute or legislation or any other applicable laws or any Notifications, Directions issued by any governmental or statutory authority from time to time.
15. The Client(s) confirm that in the event the Client(s) have mentioned "Not Applicable" against Permanent Account Number (PAN), such Client(s) are not required to obtain a PAN under the provisions of the Income Tax Act, 1961.
16. It is explicitly stated herein that the Mutual Fund schemes offered online, have not been recommended by Finmoksha Financial Planning , nor have been sponsored by it, or its affiliates or its sponsors.
17. The Client confirm that he/she/they is/are aware that the funds from his/her/their account will first move into a pool account maintained by Finmoksha Financial Planning in the bank account opened for this purpose and later the same will be remitted to the AMC collection accounts whenever the Client makes investment in to the schemes offered online.
18. In case any purchase order is rejected by the AMC due to any reason, the amount will be refunded by the AMC to the Finmoksha Financial Planning 's Pool account and Finmoksha Financial Planning will credit the respective Clients ledger account immediately. However, JM Financial Mutual Fund will transfer the refund amount in respect of rejected purchase orders directly to the Client's bank account.
19. Neither Finmoksha Financial Planning , nor any of the Mutual Funds shall be liable for any failure to perform its obligations, to the extent that such performance has been delayed, hindered or prevented by systems failures, network errors, delay or loss of data due to the above and in circumstances of acts of God, floods, epidemics, quarantine, riot or civil commotion and war.
20. Finmoksha Financial Planning shall provide its services on a best effort basis. However Finmoksha Financial Planning shall not be liable for failure of the system or for any loss, damage or other costs arising in any way out of:
- a. System failure including failure of ancillary or associated systems, or fluctuation of power, or other environmental conditions; or
- b. Accident, transportation, neglect, misuse, errors, frauds of the Clients or agents or any third party; or
- c. Any fault in any attachments or associated equipment of the Clients; or
- d. Any incidental, special or consequential damages including without limitation of loss of profit
21. For all correspondences with Finmoksha Financial Planning , the Client shall quote his broking account number / Client ID.
22. I/We agree not to approach the AMC/Registrar directly for any transaction or request or services under the folio created under solely POA mode.
23. The request for change of broker codes from a non-Finmoksha Financial Planning broker to Finmoksha Financial Planning online broker code will be entertained by Finmoksha Financial Planning only when the following condition are met and provided the schemes of the AMC are available in the online portal of Finmoksha Financial Planning .
- a. The pattern of holdings should be same i.e if in Finmoksha Financial Planning the Client is holding in single name the folio under request for broker code change also must have holdings in single mode.
- b. The Status of the individual should be same. ( i.e. Resident Individual, NRI, HUF etc.)
- c. Signature of the Client and Bank details in online records should be the same
- d. The Client must give AMC wise requests in original for broker code changes.
- e. Copy of account statement should be provided with the request.
24. The Client is aware that the mutual fund units will be allotted in the single name of the Client as it appears in his trading account with Finmoksha Financial Planning and that the facility of joint holders is not available for the transactions made through the online mutual fund portal of Finmoksha Financial Planning . However the Client may approach Finmoksha Financial Planning for appointing a nominee. The Nominee will be the same for all the mutual fund units he/she is holding under the Client ID given by Finmoksha Financial Planning Limited irrespective of the AMC ( Mutual Fund Companies).
25. Any change in nomination, will have the effect on all the schemes applied through Finmoksha Financial Planning. The Client is aware that he will not be able to nominate different individuals for different mutual fund schemes subscribed through Finmoksha Financial Planning .
26. The Client is also aware that his investment details will be registered with the AMCs/Registrars as per the Client profile displayed in the website under online mutual fund investment section.
27. In case any Client is desirous of obtaining the broker code of Finmoksha Financial Planning he may register with Finmoksha Financial Planning on fulfilling the following conditions
- a. The holding is in single name as it appears in the trading account of the Client with Finmoksha Financial Planning
- b. The Status of the individual should be same. ie, Resident Individual, NRI, HUF etc.
- c. Signature of the Client and Bank details in online records should be the same.
- d. The Client must give AMC wise requests in original for broker code changes
- e. Copy of account statement should be provided with the request.
- f. The AMC for which the Client had subscribed is/ are available on the online portal of Finmoksha Financial Planning .
28. The Client confirms that he has read the disclosures on commissions (including trail commissions) payable to Finmoksha Financial Planning for various categories of mutual funds schemes.
29. Notwithstanding anything in the contrary provided in this terms and conditions, Finmoksha Financial Planning shall not be involved in or in any way liable to the Client for any dispute between the Client and the Mutual Fund/Asset Management Company, or any other third party company/ vendor whose products/services have been purchased/ availed by use of the Services.
30. The Client(s) agree to comply with KYC (Know your Client/Customer) and KRA requirements as required under SEBI (KYC Registration Agency) Regulation 2011, SEBI Act 1992, Prevention of Money Laundering Act, 2002, all laws and regulations including but not limited to the Foreign Exchange Management Act, Reserve Bank of India (RBI) guidelines, to the extent applicable pertaining to the investments.
31. The Client(s) agree to provide any and all information that may be required by Finmoksha Financial Planning / AMC, from time to time, in compliance with existing legal norms and regulations, including but not limited to contact information, address, tax‐related information and any other information required under existing or future KYC norms and laws. The Client(s) agree that aforesaid information that may be provided by you to Finmoksha Financial Planning from time to time, may be shared by Finmoksha Financial Planning with the Mutual Funds/AMCs or their respective Authorized Service Providers, Auditors, Legal and Tax Consultants in compliance with the extant legal provisions from time to time. The Client(s) also agree that Finmoksha Financial Planning / AMC may take steps to verify the veracity of such information provided by the Client(s) and the Client(s) agree to co‐operate with Finmoksha Financial Planning /AMC in providing all information requested by Finmoksha Financial Planning . The Client(s) acknowledge that failure to provide such information in a timely manner may result in ineligibility to avail of some or all of the Services of Finmoksha Financial Planning and that Finmoksha Financial Planning / AMC/Trustees of AMC shall in no way be held liable for any losses of whatsoever nature resulting from such failure to provide information on the Clients part. The Client(s) agree that any information provided by him/her may be required to be shared with relevant Regulatory / Statutory Authorities and the Client(s) authoriseFinmoksha Financial Planning to provide all information to such Regulatory / Statutory Authorities as and when required.
32. The Client(s) acknowledge that the Online Mutual Fund Account and the execution of online instructions are subject to these Terms and Conditions, and the Offer Documents of the respective AMCs’. There may be an exit load/any other charge(s) applicable to certain mutual fund schemes which is mentioned in the respective Offer Documents including Scheme Information Document (SID) /Key Information Memorandum (KIM) and addendums issued thereto from time to time (collectively referred to as "scheme related documents"). The Client(s) hereby agree to read all the scheme related documents before investing.
33. The Client (s) acknowledge that the client have gone through the offer document/key information memorandum / regulatory clauses published by regulatory authorities before deciding to make this investment in the mutual fund scheme.
34. The Client (s) acknowledge that the client have read and examined the offer documents / abridged offer documents and I/We am/are myself/ourselves have taken the investment decision to apply in the units of the mutual fund specified as above and agree to abide by the terms and conditions, rules and regulation of the mutual fund scheme chosen.
35. The Client(s) agree to be communicated for all transaction related purposes to your registered email-id or by way of SMS to your registered mobile number.
36. The Client(s) at the time of providing the details/documents over the Website including but not limited to personal information give his/her/ their consent and/or no objection to Finmoksha Financial Planning to contact the Client on matters connected to setup and operation of Online Mutual Fund Account and to execute the investment instructions in relation to:
- Communication with AMCs on your behalf for financial or non-financial transactions executed under this Terms.
- Sharing your information with KRAs, AMCs and Finmoksha Financial Planning 's service vendors, for validation, to comply with legal and regulatory requirements and for the purpose of fulfilling its obligations under these Terms.
- Forwarding your transaction data and requests to the respective mutual funds/AMCs with respect to your instructions and orders of sale, purchase, transfer, redemption, splitting, consolidation and any other financial/non-financial transactions of mutual funds units.
- Transmitting to the mutual fund and/or the corresponding AMC, information relating to your nomination/changes in investment plan/ any other changes made through the online platform
- Obtaining and forwarding to the AMC/its Authorized Registrar your information as available in the KRA/UIDAI records, including your e-signature.
I/We acknowledge and declare that the personal, bank and investment details provided by him/her in the application are true and correct.

I/We hereby declares and confirm having read and understood the contents of the Terms and Conditions and do hereby agree to be bound by the Terms and Conditions outlined in this document.

GOVERNING LAW AND JURISDICTION

Any dispute or differences arising out of or in connection with the Services shall be subject to the exclusive jurisdiction of the Courts of Kolkata.

Finmoksha Financial Planning reserves the right to change the terms and conditions without any prior notice. Mutual Funds Important Information

Please also take note of risks highlighted about the product in the offer document and due caution should be exercised (including if necessary, obtaining of advise of tax/ legal/ accounting/ financial/ other professionals) prior to taking any decision, acting or omitting, to act on the basis of the information contained therein.
